Venue Terms

These Venue Terms (the “Venue Terms” or “Agreement”) govern the relationship between you, as a business that lists and hosts events through getPlnz (the “Venue”, “you”), and the operator of getPlnz (“getPlnz”, “we”, “us”). They are a business-to-business agreement and are separate from the consumer Terms & Conditions that apply to guests. Please read them carefully.

By creating a venue account, by ticking the acceptance box at sign-up, or by listing or hosting any event through getPlnz, you confirm that you have read, understood and agree to be bound by these Venue Terms and by our Privacy Policy. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you are authorised to bind that entity.

2. What getPlnz is (and is not)

getPlnz is an online intermediation service: an app and website that lets venues publish events, and lets guests discover and book a place at those events. In relation to each event:

4. Review and approval

New venues are reviewed by getPlnz before their events can go public. We may approve, decline, or ask for more information at our reasonable discretion, for example to protect guests, comply with law, or keep the platform safe and relevant. Until your Venue is approved, you can prepare your account and drafts, but your events will not be published.

You are responsible for your events and your business. In particular, you agree that:

6. Fees, Ticket Price and payment

6.1 Subscription

Access to list and publish events is provided under a subscription plan. The plan, its price and its billing cycle are those shown to you at sign-up or on our pricing page, as updated from time to time under section 12. During our launch phase we may offer listing free of charge or on introductory terms; we will give you at least 15 days’ notice before any subscription charge first applies to your account, and you may terminate before it takes effect if you do not wish to continue.

6.2 Ticket Price

You set the Ticket Price for each event and receive 100% of the Ticket Price for confirmed, non-refunded bookings. getPlnz does not deduct a commission from your Ticket Price. Amounts may be reduced only by payment-processing charges of our payment provider where those apply to your account, and by refunds due to guests (see section 8).

6.3 Guest Service Fee

Separately, getPlnz charges the guest a Service Fee for use of the platform. That fee is added on top of your Ticket Price at checkout, is a matter between getPlnz and the guest, and does not form part of your revenue or reduce it.

6.4 Taxes

Each party is responsible for its own taxes: you for taxes on your Ticket Prices and events, and getPlnz for taxes on its subscription and Service Fee.

6.5 Changes to fees

We may change subscription prices or introduce new fees. We will give you at least 15 days’ notice (or a longer period where you need to make commercial or technical adaptations) before a change takes effect. If you do not agree, you may terminate the Agreement before the change applies. We will not apply fee changes retroactively.

7. Payments and payouts (Stripe)

Payments from guests and, once they apply, subscription charges are processed by Stripe. To receive payouts you must open and maintain a Stripe connected account and accept Stripe’s Connected Account Agreement. Payouts are made to your connected account according to Stripe’s processes and timing. getPlnz is not a bank or payment institution, does not control Stripe’s services, and only routes funds as described here. You are responsible for keeping your payout and tax details accurate.

8. Bookings, cancellations and refunds

9. Content and intellectual property

You keep ownership of your Venue’s name, logo, images and event content (“Venue Content”). You grant getPlnz a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and promote your Venue Content within getPlnz and in reasonable marketing of the platform, for as long as you list with us and for a short period afterwards for cached or archived copies. You confirm you have the rights to grant this licence. All rights in the getPlnz platform, software and brand remain ours; nothing here transfers them to you.

10. Data protection

When a guest books your event, getPlnz shares the booking details you need to run it. In respect of that data, you and getPlnz each act as independent controllers: getPlnz for operating the platform, and you for managing and delivering your events. You agree to:

11. How events are shown and ranked

How your events appear to guests (in discovery, search and listings) depends mainly on their relevance to the guest, including location and region, the date and time of the event, whether it is upcoming and has places available, and general quality and completeness of the listing. We may also highlight new or nearby events. We do not sell ranking positions; if we ever offer paid placement, it will be clearly identified.

12. Changes to these Venue Terms

We may change these Venue Terms. We will notify you of changes at least 15 days before they take effect (or a longer period where you need time to adapt), unless a change is required by law or needed to address an unforeseen security, legal or fraud risk. If you do not agree to a change, you may terminate the Agreement before it takes effect; continuing to use the platform after the change takes effect means you accept it. Changes are not retroactive.

13. Suspension, restriction and termination

13.1 By you

You may stop using getPlnz and close your venue account at any time. You remain responsible for events already booked at that time.

13.2 Restriction or suspension of individual events

We may restrict, unpublish or suspend one or more of your events (for example where a listing appears unlawful, unsafe, misleading, or in breach of these Venue Terms). Where we do, we will give you a statement of reasons at or before the time it takes effect, unless giving reasons would breach a legal obligation or harm the detection of illegal or abusive activity.

13.3 Termination of the whole service

If we decide to terminate the whole of your access to getPlnz, we will give you at least 30 days’ notice and a statement of reasons. This notice period does not apply where termination is required by law, or where you have repeatedly breached these Venue Terms, in which case we may terminate with immediate effect and a statement of reasons.

13.4 Effect of termination

On termination, your right to list new events ends. Bookings already made are dealt with fairly (delivered, or cancelled and refunded as appropriate). Sections that by their nature should survive (for example fees already due, liability, indemnity, data protection and governing law) continue to apply.

14. Warranties, liability and indemnity

You warrant that you have the right, authority, licences and ability to organise and host your events lawfully. You are solely responsible for your events and for what happens at them.

To the extent permitted by law, getPlnz provides the platform “as is” and “as available”, and is not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data. Nothing in this Agreement limits liability that cannot be limited under Belgian law (including for fraud, intent, or death or personal injury caused by negligence). Subject to that, getPlnz’s total liability to you in any 12-month period is limited to the total subscription fees you paid us in that period (or, where no subscription fee applied, to €250).

You will indemnify and hold getPlnz harmless against claims, damages, fines and reasonable costs arising from your events, your Venue Content, your breach of these Venue Terms or of law, or your relationship with guests, except to the extent caused by getPlnz.

15. Complaints and disputes

If you have a complaint about the platform or these Venue Terms, contact us at hello@getplnz.com and we will deal with it in good faith and within a reasonable time. getPlnz currently qualifies as a small enterprise and is therefore exempt from the obligation to operate a formal internal complaint-handling system or to designate mediators under Regulation (EU) 2019/1150; nevertheless, we are open to resolving disputes amicably, including through mediation where both parties agree.

17. Governing law and jurisdiction

These Venue Terms are governed by Belgian law. The competent courts of Antwerp, Belgium have jurisdiction over any dispute, without prejudice to any mandatory rights you may have under the law of your place of establishment.
